Description of Services 服务说明

Payment 支付说明

 

1. The Service Recipient will pay  service fee   to the Service Provider for the services outlined in ‘Description of Services’ in this Contract. The Service Provider will send an invoice to Service Recipient. After receiving payment from Service Recipient, the Service will begin to process.

2. The processing period will take around 7-15 days.

甲方将就本合同“服务说明”中提到的服务向乙方支付   服务费 。乙方向甲方提供发票。收到甲方的付款后，服务将正式开始。服务处理期为7-15天。

3. Upon receipt of invoice, the Recipient will make payment against the invoice within 7 working days. It is understood that a charge of $25.00 (Twenty-five US Dollars) for a returned check will apply for any check that is returned due to insufficient funds.

甲方需要收到发票后无异议，需要在7个工作日内付款。任何因资金不足而退回的

支票将收取25.00美元的退回支票费用。

4. For non-direct transfer or payment in RMB, a service fee of 3% will be added.

如非直接转账或支付人民币，另加 3%的服务费。

5. If payment is made in RMB, it will be settled at the real-time exchange rate or notified amount on the day of remittance; if VAT is required, it will be subject to 1% tax (VAT invoices cannot be issued for the portion of government fees paid on behalf of the government) except where indicated. 

如支付人民币，则按汇款当日的实时汇率或通知金额结算；如需发票，则需加收 1% 的税费（代付的政府费用部分不能开具增值税发票），已标注的除外。

6. Payments received by the Service Provider from any one of the accounts above shall be deemed to have been paid.任意一个账户收到款项均视为甲方已付款。

Compliance with Applicable Statutes, Ordinances, and Regulations

遵守适用的法规，条例和法规

In providing the Services required of it under this Contract, the Service Provider shall comply with all applicable federal, state, county, and city statutes, ordinances, and regulations.

提供本合同要求的服务时，乙方应遵守所有适用的联邦、州、县和市的法规、条例和法规。

 

Confidentiality 保密

The Service Provider and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly, use for personal benefit, or divulge, disclose, or communicate in any manner, any information that is proprietary to the Service Recipient, the Service Provider and its employees, agents, or representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of the Contract.

乙方及其员工、代理人或其他代表保证不会在任何时间或以任何方式，直接或间接，用于个人利益，或以任何方式泄露、披露或传播甲方有关信息、乙方及其员工、代理或其他代表将保护信息并严格保密。 本条款在合同终止后继续有效。

 

Indemnification 保障

The Service Provider agrees to indemnify and hold the Service Recipient harmless from all claims, losses, expenses fees including attorney fees, costs and judgements that may be asserted against the Service Recipient that results from the acts or omissions of the Service Provider and/or the Service Provider’s employees, agents, or representatives.

如甲方因乙方或乙方员工、代理人或其他代表的过失而造成了损失，乙方同意赔偿甲方损失费用，包括律师费，判决费和相关费用。

 

Warranty 保证说明

The Service Provider shall provide its Services and meet its obligations under this Contract in a timely and workmanlike manner, using knowledge and recommendations for performing the Services which meet generally acceptable standards in the Service Provider’s community and region, and will provide a

standard of care equal to, or superior to, care used by similar service providers on similar projects.

乙方应及时提供服务并履行其在本合同项下的义务，要求符合乙方所在地区的标准，同时

需提供同等或优于乙方在类似项目中的服务标准。

 

Dispute Resolution 争议解决

1. The parties will attempt to resolve any dispute arising out of or relating to this

Contract through friendly negotiations among the parties. If the matter is not

resolved by negotiation, the parties will resolve the dispute using the below

alternative Dispute Resolution (ADR) procedure.

双方将努力通过双方友好协商解决因本合同引起的或与本合同有关的任何争议。如果

问题无法通过协商解决，双方将使用以下替代性争议解决程序(ADR)来解决争议。

2. Any controversies or disputes arising out of or relating to this Contract will be submitted to mediation in accordance with any statutory rules of mediation. If mediation does not successfully resolve the dispute, the parties may proceed to seek an alternative form of resolution in accordance with any other rights and

remedies afforded to them by law.

因本合同引起的或与本合同有关的任何争议，将按照法定调解规则进行调解。如果调

解未能成功解决争议，当事人可以根据法律赋予他们的任何其他权利和补救措施寻求

替代解决方式。

 

Entire Agreement 协议整体性

This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties.

本合同包含双方的全部协议，此外没有其他任何协议有关于本合同标的物的口头或书面承诺或条件。本合同取代双方之前的任何书面或口头协议。

 

Severability 分割

If any provision of this Contract will be held to be invalid or unenforced for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.

如果本合同的任何条款因任何原因被认定为无效或未执行，其余条款将继续有效和可执行。如果法院发现本合同的任何条款无效或不可执行，但通过限制此类条款可以变得有效和可执行，则该条款将被视为书面解释，因而受到限制。

 

Amendment 修改说明

This Contract may be modified or amended in writing, if the writing is signed by the party obligated under the amendment.

Governing Law 依据法规

This Contract shall be construed in accordance with the laws of the State of California.

本合同应根据美国加利福尼亚州法律法规解释。

 

Waiver of Contractual Rights 放弃合同权利

The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and

compel strict compliance with every provision of this Contract.

任一方未能执行本合同的任一规定，不影响或限制该方随后执行和强制遵守本合同的其余任一规定。

 

This contract uses both Chinese and English. If there is any contradiction, ambiguity or inconsistency between the Chinese content and the English content, both parties agree that the English content shall prevail.

本合同使用中英文双语，如中文文本与英文文本存在任何矛盾、歧义或者不一致之处，双方同意以英文文本为准。
