Confidentiality
The parties agree that YTEPP Limited and its employees shall be exposed to information which is extremely confidential, privileged, and proprietary in nature involving SUPPLIERS and VENDORS operations, financial matters, and other sensitive issues. By entering into this agreement YTEPP Limited hereby acknowledges and agrees that any and all information (disclosed directly or indirectly to YTEPP Limited by observation, in written or other tangible form or orally) and materials in any form maintained or created, whether documented or electronically stored or otherwise without limitation, that YTEPP Limited and its employees may be involved with or exposed to shall at all times during the term of this Agreement and at all times after its expiration, remain confidential, privileged and proprietary. This provision shall extend to, but is not limited to, any document, report, filing or computer program used or developed in conjunction with the rendering of outsourcing services hereunder. Neither YTEPP Limited nor its employees shall disclose to any person, corporation, or third party, any information or material to which it or they shall be exposed to without the prior written consent of SUPPLIERS and VENDORS. YTEPP Limited and its employees shall use said information exclusively for the purpose of carrying out its obligations under this Agreement. Therefore, neither YTEPP Limited nor any of its employees shall use in any way for its or their benefit or for the benefit of any other person, corporation, or third party any of such information YTEPP Limited or its employees may be exposed to without the prior written consent of SUPPLIERS and VENDORS. YTEPP Limited shall use its best efforts to ensure that the information it or its employees may be exposed to as a result of this Agreement shall at all times hereunder and after the termination of this Agreement remain confidential, privileged, and proprietary. Notwithstanding the foregoing, YTEPP Limited’s duty of confidentiality does not extend to suspicious transactions as defined by the Proceeds of Crime Act, 2000, and Proceeds of Crime (Amendment) Act, 2009
