CONSULTING AGREEMENT

This Consulting Agreement (“Agreement”) is entered into and made effective as of   Effective Date* (“Agreement Effective Date”), the Consulting Agreement dated   Agreement Date*, (the “Agreement”), by and between   First Name   Last Name (“Consultant”) and n-Lorem Foundation ("n-Lorem").

All capitalized terms used in this Agreement but not otherwise defined herein will have the meaning set forth in the Agreement.
WHEREAS, Consultant and Ionis entered into the Agreement to perform certain Consulting Services; and

WHEREAS, the parties now wish to amend the Agreement as set forth herein.

NOW THEREFORE, in consideration of the foregoing and the agreements set forth herein, the Agreement is hereby amended as follows:

1. Duration of Consulting Services. (the “Consulting Period”). The Consulting Period is from the Effective Date through   End Date* .
2. Consideration for Consulting Services. Consideration for Consulting Services is deleted in its entirety and replaced with the following:

“$   Amount*   per   month/year*   for Consulting Services performed by Consultant. Total Consideration will not exceed $   Total Amount*   per Consulting Period unless authorized in writing by n-Lorem.

The parties agree that all of the original terms of the Agreement not otherwise specifically
modified by this Agreement will remain in full force and effect.
