• Security Agreement Form

  • This Security Agreement is executed on the {day} of {month}, {year} by and between the following parties:

    Sharp Eyes Security, Inc., with the address at 2848 Nancy Street, Raleigh, North Carolina (hereinafter referred to as "Company");

    - and - 

    {clientCompany}, with the address at {address:addr_line1} {address:city} {address:state} {address:postal} (hereinafter referred to as "Client");

  • Witnesseth: That - 

    WHEREAS, the Client would like to employ the Company's security services to provide security for the Client;

    WHEREAS, the Company whose expertise is providing security services accepts and agrees to the employment offer of the Client;

    NOW, WHEREFORE, in consideration of the foregoing premises, the Parties herein agree as follows:

    The Company shall provide security services by assigning personnel to keep ward and watch, to secure and protect the premises as required by the Company.

    The security guards provided by the company will be for {securityTerms}.

     

  • Responsibilities

    It shall be the responsibility of the Client to provide facilities and stations for the security personnel on the premises. The security personnel shall secure the premises according to the requirements of the Client which the personnel shall be oriented to the required standards required by said Client.

    The Company shall provide the personnel with the necessary uniform that they shall wear on their duty. The Company agrees that the Client shall provide the required standards for the Company to comply with for the maintenance of security in the Client's premises in the Client's satisfaction.

    The security personnel shall maintain proper conduct, discipline, and behavior at all times and shall not, in any way perform any conduct that is unbecoming of a security officer.

    It shall be the responsibility of the Company to secure any license for employment and duty of the security personnel.

    The Client shall be entitled to supervise the security personnel during the shift. In case the Client has any concerns with regard to the security personnel, the Client may submit a complaint with the Company and by which the complaint shall be resolved accordingly, including, but not limited to replacement of the security personnel.

    No Employer-Employee Relationship

    The Company agrees that there is no employer-employee relationship in this agreement. The security personnel shall have no claims against the Client and shall not be liable for salaries, compensation, and other benefits. Likewise, the Company shall indemnify the Client for any claims, losses, damage, and damages of the security personnel for any occurrence that may arise in the Client's premises, including, but not limited to willful acts or omissions, or negligence of the security personnel during the effectivity of this Agreement.

    Fees

    The Parties agree that the Client shall pay the Company {amountPer} per security personnel per shift for the services provided by the Company.  {paymentTerms}. No payment of salaries and wages shall be made to the security officers directly or indirectly and all compensation to be made to the security personnel shall be with the Company. 

  • Effectivity Period

    {periodOf20}.

    Breach

    In case of a breach, the aggrieved Party shall be entitled to damages or may have the right to terminate this agreement and other compensatory privileges resulting from the said breach.

    Termination

    The Client may terminate this agreement with or without cause by giving the Company a one-month notice to the Company.

  • Expiration

    Upon expiration of this Agreement, the security personnel shall vacate the premises of the Client.

    Dispute Resolution

    In case of dispute or controversy arising from this Agreement, the issue shall be resolved by arbitration, by which the language shall be in English, with the laws governing on the state of {lawGoverning}. Any decision reached in the arbitration shall be binding upon the parties and the losing Party shall be responsible for the arbitration fees, including attorney's fees.

     

  • Confidential Information

    Any sensitive or proprietary information that the Parties may acquire from each other through the course of this agreement shall be considered as Confidential Information. The Party acquiring the said confidential information shall keep confidential the confidential information and shall exercise the degree and care as required by the law.

    Separability Clause

    Should any provision of this Agreement be held invalid by any competent court, the same shall apply only to the provision involved and the remaining provisions hereto shall remain valid and enforceable.

    Amendments

    No modification or alteration to this agreement shall be considered as having been made unless it be made in writing and signed by both parties.

    Counterparts

    This agreement may be executed in two or more counterparts each of which shall be deemed an original and all of which together shall constitute one and the same agreement.

    Relativity

    This agreement inures to the benefit of, and is binding upon the successions and assigns of the parties hereto.

    Non-waiver

    The failure of any party to insist upon the strict compliance with and performance of any of the terms, conditions, and covenants shall not be deemed as a waiver of said party may have over such breach. Only by expressed written consent and duly signed by the parties may a proper waiver be considered as having been made.

    IN WITNESS WHEREOF, the Parties hereto have caused their signatures on the date written.
