This Painting Agreement is executed by and between:

The Service

Mode and Terms of Payment
Payment for the services rendered is due after the completion of the project and shall be made in full.
The total amount is exclusive of taxes and other fees.
Payment can be made either by check or cash.
Warranty
Contractor guarantees that all work performed including the materials used are in accordance with the specifications. Contractor offers a 6-months warranty for the work done by Contractor commencing from the date of completion or agreed completion date, whichever comes first.
No Employer-Employee Relationship
The contractor shall be considered an independent contractor. No employer-employee relationship shall be considered in this Agreement.
Non-Assignment
Contractor may not delegate, subcontract, outsource any or all portions of this Agreement unless prior written consent is provided for by the Client.
State Jurisdiction
Disputes
Any disputes arising from matters concerning this Agreement shall be resolved through a neutral arbitrator in the jurisdiction of the State of {stateJurisdiction}.
Hold Harmless
Both Parties agree to protect, defend, indemnify and hold harmless one another from any loss, liabilities, and damages resulting from, relating to, or arising out of the inaccuracy, nonfulfillment or breach of any representation, warranty, covenant, or agreement made by the Contractor.
Counterparts
This Agreement may be executed in two or more counterparts, each counterpart may be considered as an original agreement, and all of which when put together shall be considered as one and the same contract.
Entire Agreement
This Contract represents the entire understanding and agreement of the Parties with respect to the subject matter. Any other agreements or arrangements made whether written or oral, shall not be construed as valid unless otherwise documented and signed by the Parties.
