Recitals:
WHEREAS, Party A and Party B have been engaged in a dispute or potential legal claims related to [briefly describe the nature of the dispute or claims];
WHEREAS, Party A and Party B desire to settle and compromise their disputes and claims, avoid the expense and uncertainty of litigation, and release each other from any and all present and future liabilities;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
1. Release and Discharge:
1.1 Party A hereby releases and forever discharges Party B, its agents, employees, representatives, successors, and assigns from any and all claims, demands, actions, causes of action, liabilities, expenses, and damages (including attorney's fees) of any kind, whether in law or in equity, arising out of or related to the disputes or claims mentioned in the Recitals.
1.2 Party B hereby releases and forever discharges Party A, its agents, employees, representatives, successors, and assigns from any and all claims, demands, actions, causes of action, liabilities, expenses, and damages (including attorney's fees) of any kind, whether in law or in equity, arising out of or related to the disputes or claims mentioned in the Recitals.
2. No Admission of Liability:
The Parties acknowledge and agree that this Agreement is the result of a compromise to avoid litigation and that neither Party admits to any wrongdoing or liability by entering into this Agreement.
3. Confidentiality:
The Parties agree to keep the terms and conditions of this Agreement confidential and not to disclose them to any third party, except as required by law or to their legal and financial advisors.
4. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the state of the State, without regard to its conflict of laws principles.
5. Entire Agreement:
This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether oral or written, relating to the subject matter herein.
6. Execution in Counterparts:
This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
