Welcome to The Social Space @ Marina One! In preparation for your pop-up shop, we would like to share a few details to make your experience enjoyable and successful. Please make sure you read the entire document as you will be responsible for following all guidelines.

G E N E R A L / T E R M S
To reserve your space, a $350 security deposit is required.An invoice will be e-mailed to you within 24 hours of submitting this Contract. Your security deposit will be returned to you within 2 weeks from the end date of your term. In the event of cancellation with less than 3 months’ notice, your security deposit will be forfeited.
Your usable space will be approximately 400sqft on the 2ndFloor of our Marina One outlet, in accordance to the vendor deck provided to you previously. A double 13A powerpoint is provided in the space for your use. No additional fittings, displays or racks will be provided.
The 2nd Floor common space of our Marina One outlet will also be used for a variety of events (all surrounding the theme of sustainability) on a regular basis. As such events will help to bring customers to the upper floor, we ask that Vendors make a special effort to remain open during such events. If Vendors are unable to do so, they will be responsible for covering or keeping displays and products, as The Social Space will not be liable for any items that are lost or spoilt during such events.
If you did not receive the vendor deck, please let us know before you sign this Contract.
Vendors will be able to set up 1 day before the start date of their term, and tear-down within 1 day after the end date of their term.
As your space will be on the upper floor and not readily visible to walk-in customers, we recommend taking active steps to market your pop-up shop as early and as much as possible.

D A I L Y / S A L E S
Vendors will be responsible for collecting payment and tracking sales of their products/services.
At the end of every business day, Vendors shall provide a report on Daily Gross Sales, including a detailed list of items sold to The Social Space on a daily basis, for inclusion into our Point-of-sales (POS) system.
At the end of every month, Vendors shall provide a report on Monthly Gross Sales, including a detailed list of items sold to The Social Space on a monthly basis, no later than the 7th of the month following the sale(s).
Should there be no discrepancies, The Social Space shall issue an invoice as per the agreed consignment rate to Vendor and payment should be made within 7 days of receiving the invoice.
Gross sales means the aggregate of all sums of money or consideration received or receivable for all goods sold, leases, hired or otherwise disposed of, and all services sold or performed, in the normal course of business at or from The Social Space (both in-store and online, whether originating, received or accepted, at or from The Social Space) by the Vendor.
Vendors are also welcome to utilize our Credit Card and Nets terminals at the Level 1 cashier to collect payment for their products and/or services. All transactions will incur a fee of 2% for NETS payments and 3.5% for Credit Card payments.

O P E N I N G /H O U R S
The opening hours for The Social Space @ Marina One are 8am – 7pm from Mondays through Fridays, 9am - 4pm on Saturdays and closed on Sundays and Public Holidays. The Social Space reserves the right to amend this as and when necessary.
Set up for a business day begins 30 minutes before opening time, and we will extend 30 minutes past closing time for end-of-day closing and cleaning.
Vendors need to commit to keep their pop-up shop open for business at least 70% of the time, or at other such times as may be agreed between the parties.
Vendors must provide their own manpower to tend to their pop-up shop at all times, and should not leave their space unattended at any time.

L I A B I L I T Y
Each Vendor exhibits in his or her own legal capacity in accordance with prevailing regulations and laws of Singapore. The Social Space shall not be responsible for any loss or damage incurred by Vendor, including, without limitation, damage to Vendor's property, loss of sales, or injury to or death of Vendor (or its agents, employees, and/or personnel). Vendor expressly assumes all risks of loss, damage, liability, injury, or destruction resulting from any cause whatsoever, including but not limited to acts or omissions by Vendor, and hereby releases and waives any claims against The Social Space related to such loss, damage, liability, injury and/or destruction.

A S S I G N M E N T
Vendors are forbidden from assigning, subletting, exchanging, provide complimentary or for consideration, all or any part of the location assigned by The Social Space to any vendor, business or individual. No other business’ product or service, unless identified in this agreement, is allowed to be advertised or sold.

M E R C H A N D I S I N G
The Social Space will allow Vendors to set-up their own visual merchandising displays at the allocated space, provided they are in line with the store's concept. The Vendor shall provide suitable signages, display stands and point-of-sales material.
It is the Vendor’s responsibility to cover displays, products etc securely after closing hours. It is also the Vendor’s responsibility to ensure that their pop-up shop is clean and tidy at all times.
You will be given access to our store room, however please note that space is limited. All inventory and packaging materials must be stowed away, i.e. hidden from view to maintain a high level of safety and professional appearance.
Vendors shall not make any permanent alterations to the The Social Space’s property unless permission to do so is granted in advance in writing.
If you wish to display on the walls/pillars, please use 3M COMMAND removable tape or hooks ONLY. Tape, blutack or other adhesive materials will ruin the paint and pillar covering – nails and screws cannot be used under any circumstances.
Please be extremely careful when setting up, displaying or removing items from your space. Vendors will be directly liable for any damage caused to the space.

M A R K E T I N G /&/ P R O M O T I O N
The Social Space retains the right to market all Vendors and their products and/or services through its retail marketing opportunities. This includes our web site, social media, promotional events, advertising and in-store displays.
Vendors are allowed to display one A2 poster (a bunting clip stand will be provided) at the base of the spiral staircase on Level 1, as well as a signage (either a pull-up banner or A-Board stand) at the entrance. The signage designs should be submitted to The Social Space for approval prior to display.

E C O – F R I E N D L Y / P O L I C I E S
The Social Space is an environmentally-responsible business and we hope to promote the awareness of sustainable practices by encouraging all our Vendors to go green as well.
We adhere to the three R’s of Waste Hiararchy (Reduce, Reuse, Recycle). As far as practicable, we encourage Vendors to say no to single-use consumables (especially plastic) and choose reusable options instead. If single-use items are necessary, Vendors should make a conscious effort to choose paper or other sustainable materials, and practice recycling where possible.

C A N C E L L A T I O N S
In the event of cancellation by the Vendor, the Vendor is still liable to pay The Social Space the fixed fee for the entire term committed. The S$350 security deposit will also be forfeited.
If a cancellation by The Social Space is necessary due to unforeseen circumstances, acts of a third party, or other circumstances which (in The Social Space’s sole judgement) may compromise the safety of Vendors or customers, then this Contract will be terminated and the S$350 security deposit will be returned to the Vendor.

C O D E / O F / C O N D U C T
Vendors are to abide by all directives, regulations and rules set by The Social Space. The Social Space reserves the right to decline, prohibit, or expel any Vendor exhibit, or prevent any activity, displays, products, or conduct, which (in The Social Space’s sole judgement) is out of keeping with the character and values of The Social Space or endangers the venue, any employee, or customers.
Vendor and its agents, employees, personnel, and/or independent contractors agree to be bound by this Contract and shall comply with its terms and all rules, regulations, and directives as expressed to Vendor by The Social Space in any way at any time. The terms of this Contract, including any limitations and waives, inures to the benefit of The Social Space and its affiliates.

M I S C E L L A N E O U S
The relationship of Vendor to The Social Space is that of an independent Contractor, and nothing contained in this Contract will be construed as creating a partnership, joint venture, employment relationship, agency, or other relationship between the parties, or to make The Social Space liable for the debts or obligations of the Vendor.
If any term herein is determined to be unlawful or unenforceable then the term will be severed and the remainder of the Contract will remain in force.
This Contract is non-exclusive and The Social Space reserves the right to Contract with other Vendors of a similar nature or business model or similar products/services.
Any delay or failure by The Social Space to exercise any right or power under this Contract shall not be construed to be a waiver of said right or power, or any other right of power under this Contract.
