This Agreement is executed on the {day} of {month}, {year}, by and between the following Parties:

{nameOf10}, with principal address at {address9:addr_line1} {address9:city} {address9:state} {address9:postal} (hereinafter known as "Company"); and {nameOf3}, with address located at {address:addr_line1} {address:city} {address:state} {address:postal} (hereinafter known as "Representative");

I. Employment

Company employs Representative to represent the company in selling, informing, promoting, and educating the potential customers and clients of Company for its merchandise and products on a non-exclusive basis.

II. Reservations

Company may appoint additional representatives or agents for any products in the territory where Representative is assigned. Company reserves the right in its sole discretion to determine the account.

III. Responsibilities of Representative

It shall be the duty of the Representative to do the following:

1. To represent the Company in selling products or services in the territory in which Representative shall be assigned.
2. To ensure compliance with Company policies in performing his or her duties to potential and existing customers.
3. To report to Representative's direct supervisor or manager matters concerning customers.
4. To send periodic reports to the Company as directed or instructed by direct supervisor or manager.
5. To perform tasks analogous to the foregoing

IV. Responsibilities of Company

It shall be the duty of Company to do the following:

1. To furnish representative sufficient promotional materials, including, but not limited to business cards, brochures, and product samples;
2. To provide assistance and sufficient aid in the Representative's duties;
3. To provide proper training and support to Representative;
4. To make sure that Representative is kept abreast with updates and strategic methods in selling products and services of Company;

V. Commissions and Salaries

Company agrees to pay the following salaries and commissions:

1. The salary of the Representative shall be {salary} {paymentTerm}.
2. Representative shall receive a {commissionenter} commission per sale that is closed by Representative.

Salaries shall be paid every 5th and 20th of every month. If the salary payment period is to land on a weekend or holiday, it shall be paid on the last working day prior to the scheduled date.

Commissions shall be paid once a month. All closed transactions shall have a cut-off on the 20th of the month and shall be paid on the 20th of the next month, together with the salary payment of the 20th day of the month.

VI. Termination

Any Party may decide to terminate this Agreement provided that a 30 days prior notice shall be provided for and delivered by the said Party in writing to the other.

VII. Miscellaneous Provisions

This Agreement may be in two or more counterparts. Each counterpart may form as an agreement of its own but all of which together shall form as one and the same Contract.

Should any provision in this Agreement be considered as invalid by any Court or authority, such invalidity may only affect the said invalid provision and the rest of the provisions shall remain valid and enforceable.

This Agreement is governed, construed, and interpreted to conform to the laws of the State of {governingLaw}, without regard to any other State laws.

This Agreement shall be binding upon the heirs, assigns, and successors of the Parties hereto.

No waiver or relinquishment of rights shall be interpreted as having been made unless such waiver or relinquishment of rights by the Party is made in writing.

This Constitutes the Entire Agreement of the Parties with the subject matter hereof.
