What is Form 1065?
Form 1065, U.S. Return of Partnership Income, is an information return that reports a partnership's income, gains, losses, deductions, and credits. The partnership itself generally doesn't pay income tax. Instead, each partner reports their share on their own return using the Schedule K-1 the partnership provides.
Who has to file Form 1065?
Domestic partnerships file it, including LLCs with two or more members that haven't elected to be taxed as a corporation. Some foreign partnerships with U.S. income also need to file. Single-member LLCs are treated differently and don't use this form.
When is Form 1065 due?
For calendar-year partnerships, Form 1065 is due March 15. Fiscal-year partnerships file by the 15th day of the third month after their tax year ends. You can request an automatic six-month extension with Form 7004.
Filing on time matters: the IRS late-filing penalty is charged for each month the return is late and multiplied by the number of partners.
What schedules come with Form 1065?
Most partnerships complete Schedule B (other information), Schedule K (partners' distributive share items), and a Schedule K-1 for each partner. Depending on size, you may also need Schedule L (balance sheet), Schedule M-1 (reconciling book income with income on the return), and Schedule M-2 (partners' capital accounts). Partnerships with international tax items may need Schedules K-2 and K-3.
How do I fill out Form 1065?
Begin with the partnership's name, address, EIN, principal business activity, business code, start date, and total assets, then check the boxes for accounting method and the number of Schedules K-1 attached. The income section covers gross receipts, cost of goods sold, and other income, followed by deductions such as salaries, guaranteed payments to partners, rent, and depreciation.
After you figure ordinary business income or loss, complete the tax and payment lines if they apply, and have a partner or LLC member sign the return.
