How to fill out Form 1065: step-by-step instructions for partnerships

The following suggestions are for informational purposes only. For official requirements, consult the IRS instructions for Form 1065.

Form 1065, U.S. Return of Partnership Income, is the federal information return generally used by partnerships. The partnership reports its income, deductions, gains, losses, and other items on the return, then gives each partner a Schedule K-1 showing that partner’s share. The partnership generally does not pay federal income tax itself; partners report their allocated items on their own returns.

Who needs to file Form 1065?

Partnerships generally file Form 1065. This commonly includes general partnerships, limited partnerships, and multi-member LLCs treated as partnerships for federal tax purposes. A single-member LLC or an entity taxed as a corporation may use a different return, so confirm the entity’s tax classification before preparing the form.

What you need before filling out Form 1065

  • Partnership name, address, EIN, principal business activity, and accounting method
  • Books and records for income, cost of goods sold, deductions, assets, and liabilities
  • Partner names, taxpayer identification numbers, addresses, ownership information, and allocation details
  • Information for Schedule K and each partner’s Schedule K-1
  • Any required supporting schedules, including balance-sheet or international reporting schedules

Reconcile the return to the partnership’s books before filing. Keep the partnership agreement available because it helps determine each partner’s share of items reported on Schedule K-1.

How to fill out Form 1065

Step 1: Complete the partnership information

At the top of the return, enter the partnership’s legal name, address, EIN, business activity, principal product or service, business code, and accounting method. Select the applicable return type and tax year. Use the current form revision for the year being reported.

Step 2: Report income and deductions

Report the partnership’s ordinary business income and cost of goods sold, if applicable. Then enter deductible business expenses in the appropriate categories. Some partnership items must be separately stated instead of included in ordinary business income, so follow the line-by-line IRS instructions.

Step 3: Complete Schedule K

Schedule K summarizes the partnership’s distributive share items for all partners. Report each item in the correct category, including ordinary income or loss, interest, dividends, capital gains or losses, deductions, credits, and other items. These totals support the individual Schedule K-1s.

Step 4: Prepare a Schedule K-1 for each partner

Prepare a separate Schedule K-1 for every partner. Each K-1 reports that partner’s share of income, deductions, credits, and other tax items. Allocate items according to the partnership agreement and applicable tax rules; do not use an informal split that conflicts with the agreement.

Step 5: Complete the required schedules and sign

Form 1065 includes questions and schedules about the partnership’s activities, accounting, ownership, and financial position. Complete every applicable schedule and attachment, then have an authorized person sign the return. A paid preparer completes the preparer section when applicable.

When to file Form 1065

For a calendar-year partnership, Form 1065 is generally due on the 15th day of the third month after the tax year ends. Fiscal-year partnerships follow the applicable deadline for their tax year. If you need more time to file, use Form 7004 to request an extension. An extension gives the partnership more time to file its return, but it does not extend a partner’s deadline to pay any tax due on the partner’s own return.
