Form 1120-S, U.S. Income Tax Return for an S Corporation, is the annual return a corporation files after electing S corporation status. It reports the company's income, deductions, gains, losses, and credits. Most of those items pass through to the shareholders, who report their share on their own returns.
Who has to file Form 1120-S?
Any domestic corporation that has elected to be an S corporation, usually by filing Form 2553, files Form 1120-S for each year the election is in effect. That includes years with little or no income.
When is Form 1120-S due?
Form 1120-S is due by the 15th day of the third month after the end of the tax year, which is March 15 for calendar year corporations (or the next business day if it falls on a weekend or holiday). You can request an automatic 6-month extension with Form 7004, but an extension doesn't give you more time to pay any tax the corporation owes.
What is a Schedule K-1 for Form 1120-S?
Schedule K-1 shows each shareholder's share of the corporation's income, deductions, and credits. The S corporation prepares a K-1 for every shareholder, files copies with the return, and gives each shareholder their copy so they can report the amounts on their personal return.
How do I fill out Form 1120-S?
Start with the top section: the corporation's name, address, EIN, S election date, business activity code, and number of shareholders. Then report income and deductions on page 1 to reach ordinary business income or loss, along with any tax and payments.
Next, answer the questions on Schedule B, total each type of pass-through item on Schedule K, and complete the balance sheet and reconciliations on Schedules L, M-1, and M-2 if they apply. Prepare a Schedule K-1 for each shareholder and sign the return.
