What is Form 966?
Form 966, Corporate Dissolution or Liquidation, is an information return a corporation files after it adopts a resolution or plan to dissolve or to liquidate any of its stock. It's required under section 6043(a) of the Internal Revenue Code.
Filing Form 966 doesn't close the corporation's tax obligations by itself. The corporation still needs to file its final income tax return and take care of any other required steps.
Who needs to file Form 966?
A corporation or farmer's cooperative files Form 966 when it adopts a plan to dissolve or liquidate. The form covers several return types, including Form 1120 and Form 1120-S filers. Exempt organizations and qualified subchapter S subsidiaries shouldn't file it, and it isn't used for deemed liquidations, such as a section 338 election or an election to be treated as a disregarded entity.
When is Form 966 due?
File Form 966 within 30 days after the resolution or plan is adopted. If the plan is later amended or supplemented, file another Form 966 within 30 days of that change and enter the date you filed the earlier form on line 11.
Where do I file Form 966?

How do I fill out Form 966?
Start with the corporation's name, EIN, and address, and check the type of return it files. Lines 1 through 6 cover when and where it was incorporated, whether the liquidation is complete or partial, the date the plan was adopted, and details about its most recent tax return.
Line 7 asks about the final tax year and whether the final return was part of a consolidated return. Then enter the total shares outstanding, any amendment dates, and the Code section the dissolution or liquidation falls under, such as section 331 or 332. An authorized officer signs and dates the form.
