Manufacturer agrees to provide a demonstrat

ion of the equipment ("Equipment") as specif

ied in Exhibit A attached hereto. The demons

2. Demonstr

ation Terms

a transfer of ownership or an offer for sale

3. Respo

nsibilit

ies

(a) Manufacturer shall ensure that the Equi

pment is in good working condition and provi

de necessary operational guidance.

(b) Client shall use the Equipment only for

the purpose of demonstration and in complia

nce with Manufacturer’s instructions.

(c) Client shall be liable for any damage c

aused by misuse or negligence during the dem

onstration.

4. Confi

dentiali

ty

Both parties agree to keep confidential any

proprietary or sensitive information exchan

ged during the demonstration and not disclos

e such information to third parties without

prior written consent.

5. Liability

and Indemnifi

cation

(a) Manufacturer shall not be liable for an

y indirect, incidental, or consequential dam

ages arising from the demonstration.

(b) Client agrees to indemnify Manufacturer

against any claims arising from misuse of t

he Equipment during the demonstration.

6. Term and

Terminatio

n

(a) This Agreement shall be effective from

the date of execution until the completion o

f the demonstration.

(b) Either party may terminate this Agreeme

nt upon 30 days written notice if the other

party breaches any material term.

7. Governing Law a
nd Dispute Resolut
ion

This Agreement shall be governed by the law

s of Wisconsin, USA. Any disputes arising un

der this Agreement shall be resolved through
